1. Acceptance of Terms

By accessing or using NeuronaHealth’s platform (“Service”), you agree to be bound by these Terms & Conditions (“Terms”). If you do not agree, you must not use the Service. These Terms apply to all users, including individuals, healthcare professionals, and corporate entities accessing the platform from within the Federal Republic of Nigeria or elsewhere.

NeuronaHealth is operated by Neurona Health Technologies Ltd., incorporated in Nigeria with registered office at 20 Babatunde Kuboye Street, Lekki Phase 1, Lagos.

2. Definitions

  • “Platform” means the NeuronaHealth website, mobile applications, APIs, and related services.
  • “User” means any individual or entity who accesses or uses the Service.
  • “Emergency Coordination Service” means the AI-powered system that connects individuals with ambulance services, hospitals, and healthcare providers.
  • “Healthcare Provider” means any hospital, clinic, ambulance service, or medical professional registered on the Platform.
  • “NDPR” means the Nigeria Data Protection Regulation 2019, as updated by the Nigeria Data Protection Act 2023.

3. Use of the Service

You may use the Service only for lawful purposes and in accordance with these Terms. You agree not to:

  • Use the Service in any way that violates applicable Nigerian or international law.
  • Submit false, misleading, or fraudulent emergency requests.
  • Impersonate any person or entity, including healthcare professionals.
  • Attempt to gain unauthorized access to any part of the Platform.
  • Interfere with or disrupt the Service’s infrastructure or other users’ access.
  • Use automated systems (bots, scrapers) to access the Platform without written permission.

4. Emergency Coordination Disclaimer

Important: NeuronaHealth is a coordination platform, not a healthcare provider. We do not provide medical advice, diagnosis, or treatment. In a life-threatening emergency, always contact your local emergency services (e.g., 112 in Nigeria) directly.

While we strive to connect you with available ambulance and healthcare services, we cannot guarantee response times, availability of providers, or the quality of care provided by third-party healthcare providers. All medical services are provided independently by the Healthcare Providers registered on our Platform.

5. User Accounts & Waitlist

Certain features of the Service require you to create an account. You are responsible for maintaining the confidentiality of your account credentials. If you are on the waitlist, your position may change based on referral activity, as described in our referral program terms.

You must provide accurate and complete information when creating your account. NeuronaHealth reserves the right to suspend or terminate accounts that provide false information.

6. Corporate & Enterprise Use

If you are using the Service on behalf of a corporate entity, you represent that you have the authority to bind that entity to these Terms. Corporate users must comply with all applicable corporate governance regulations in Nigeria, including the Companies and Allied Matters Act (CAMA) 2020 and the Nigerian Code of Corporate Governance.

7. Intellectual Property

All content, features, and functionality of the Platform — including but not limited to text, graphics, logos, icons, images, audio clips, software, and their compilation — are the exclusive property of NeuronaHealth and are protected by Nigerian and international copyright, trademark, and other intellectual property laws.

Our referral codes, branding, and promotional materials may not be used without prior written consent.

8. Limitation of Liability

To the maximum extent permitted by Nigerian law, NeuronaHealth shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Service. This includes, but is not limited to, damages for loss of profits, goodwill, data, or other intangible losses.

Our total liability for any claim arising from these Terms or the Service shall not exceed the amount you paid to NeuronaHealth in the 12 months preceding the claim, or ₦100,000 (one hundred thousand Naira), whichever is greater.

9. Indemnification

You agree to indemnify and hold harmless NeuronaHealth, its directors, employees, and agents from any claims, damages, losses, and expenses (including reasonable legal fees) arising from your use of the Service, your violation of these Terms, or your violation of any rights of another party.

10. Termination

We may terminate or suspend your account and access to the Service at our sole discretion, without prior notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties.

Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall remain in effect.

11. Governing Law & Dispute Resolution

These Terms are governed by the laws of the Federal Republic of Nigeria. Any dispute arising out of or in connection with these Terms shall be resolved first through good-faith negotiation, and if unresolved, submitted to arbitration in Lagos, Nigeria, in accordance with the Arbitration and Conciliation Act (Cap A18, Laws of the Federation of Nigeria, 2004).

12. Modifications

We reserve the right to modify these Terms at any time. Material changes will be communicated via the Platform or by email. Your continued use of the Service after such modifications constitutes acceptance of the updated Terms.
